1. Acceptance of Terms

By registering for an account, accessing the platform, or using any of our services, you confirm that you have read, understood, and agreed to these Terms and Conditions and our Privacy Policy. If you do not agree, you must not use the platform.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract to use our services. By creating an account, you represent that you have the authority to bind your company to these Terms.

3. Account Registration & Security

• You must provide accurate, complete, and current information when registering.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• Notify us immediately of any unauthorized use of your account.
• Each company account is for a single business entity. Sharing credentials across unrelated companies is prohibited.

4. Subscription Plans & Payments

• We offer a free trial and paid subscription plans (monthly, 6-month, and yearly). Prices are displayed on our pricing page and may be updated from time to time.
• Payment is made by bank transfer to the account details provided during checkout. You must submit a valid transaction reference to complete your subscription.
• Your subscription becomes active once we verify your payment and our administrators activate your account.
• Subscriptions are non-refundable except where required by law.
• If your subscription expires, access to the platform may be suspended until it is renewed.

5. Free Trial

Eligible companies may receive a free trial period of 7 days. At the end of the trial, you must subscribe to a paid plan to continue using the platform. We reserve the right to modify or discontinue free trial offers at any time.

6. Acceptable Use

You agree NOT to:

• Use the platform for any unlawful, fraudulent, or unauthorized purpose.
• Attempt to access another company's data or breach platform security.
• Upload malicious software, viruses, or content that harms the platform or its users.
• Misuse, copy, resell, or sublicense the platform or its underlying technology.
• Interfere with or disrupt the operation of the platform.

7. Your Data & Intellectual Property

• You retain ownership of the business data (products, sales, inventory) you enter into the platform.
• You grant us a limited license to store, process, and display your data solely to provide the services to you.
• All platform software, design, logos, and content are the property of WEBPHASE SYSTEMS and are protected by intellectual property laws.

8. Availability & Support

We strive to keep the platform available and reliable but do not guarantee uninterrupted, error-free, or continuous operation. We may perform maintenance or updates that temporarily affect availability. Support is provided via email and phone during reasonable business hours.

9. Limitation of Liability

To the maximum extent permitted by law, WEBPHASE SYSTEMS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the platform. Our total liability shall not exceed the total amount you paid to us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability and fitness for a particular purpose.

11. Termination

We may suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or fail to maintain an active subscription. You may close your account at any time by contacting us. Upon termination, your access will be revoked and your data will be handled in accordance with our Privacy Policy.

12. Governing Law

These Terms and Conditions are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the courts of Nigeria.

13. Changes to These Terms

We may update these Terms from time to time. We will post any changes on this page with an updated revision date. Continued use of the platform after changes are posted constitutes acceptance of the revised Terms.
